Brazil
Mubadala Capital’s Brazil business has been active since 2011 and has built a diversified portfolio of private assets through the completion of several transactions including mergers and acquisitions, restructurings, corporate carve-outs, bankruptcy workouts and other types of special situations. The Brazil team is based in Rio de Janeiro and supported by the Mubadala Capital offices.
Mubadala Capital’s Brazil team employs an active investment approach, strategically designed to take advantage of attractive investment opportunities in situations of distress, while capitalizing on the team’s unique experience in the local Brazilian market.
The investment strategy is anchored around the following key principles:
• Emphasis on special situation investments across the capital structure, driven by financial strain, distress or complex situations.
• Acquire high-quality businesses at a discount to their intrinsic value, creating a margin of safety at the closing of a transaction that reduce the dependency on Brazil’s economic cycles and currency while retaining the upside exposure associated with a growing economy.
• Front-load risk into deal structuring, negotiation, and execution – once a transaction is completed, the situation that created the initial distress, and therefore the discount to intrinsic value, is often resolved.
• Use of a fundamental-driven investment strategy that focuses on financial improvements, value creation and opportunities to structure downside protection.

What will you be doing?
• Assisting with contracts and daily operations of our subsidiary assets.
• Assisting in new investments and legal due diligence processes in acquisition and divestment transactions
• Assisting the coordination of the local and international lawyers.
• Assisting with the preparation, review and organization of transaction documents, including NDAs, term sheets, shareholders’ agreements and closing documentation.
• Reviewing commercial agreements, corporate documents and transaction documents.
• Maintaining and organizing corporate records, statutory books and legal documentation for portfolio companies and investment vehicles.
• Assisting with document collection, signature processes, notarizations, apostilles and legalization procedures.
• Supporting day-to-day legal and administrative matters involving portfolio companies, service providers and internal stakeholders.

What we’re looking for?
• Fluency in spoken and written English and Portuguese is required.
• Coursing a top tier Law School, preferably in the 4th and 5th semester.
• Experience in M&A and/or corporate law will be added advantage.
• Demonstrated ability and interest to work with a small group of investment professionals in a dynamic environment.
• Strong interpersonal skills, including excellent oral and written communication skills.
• Dedicated team player with a strong sense of ownership and an entrepreneurial mindset.

The selection process
Given the importance of the role to the success of the business, we take our selection process seriously. You will first meet with an HC representative and if you progress will also be interviewed by team members as we ensure we test for both core technical skills and the ability to contribute effectively from a company culture perspective.
